Terms of Service

Welcome to Celabrae. These Terms of Service ("Terms") govern your access to and use of celabrae.com and any related services provided by Celabrae LLC ("Celabrae," "we," "us," or "our"). By creating an account, submitting an application, or using the platform, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to use Celabrae. By using the platform you represent that you meet this requirement and that all information you provide is accurate and current.

2. Accounts

You are responsible for maintaining the security of your account and password. You agree to notify us immediately of any unauthorized access. We are not liable for any loss or damage from your failure to safeguard your credentials.

3. Applications and Acceptance

Submitting an application does not guarantee acceptance to the Celabrae platform. We reserve the right to accept, deny, or remove any applicant or member at our sole discretion, including based on background check results, credential verification, community feedback, or any other reason we deem appropriate. We may also request additional information or documentation at any time.

4. Marketplace Disclaimer

Celabrae operates an online marketplace that connects hosts with vendors, providers, planners, venues, and brand partners. Celabrae is not an employer of any vendor or provider. Each vendor, provider, planner, venue, and brand partner is an independent business or contractor responsible for the services or goods they provide. Celabrae is not a party to any agreement between a host and a vendor or provider. We do not guarantee the quality, safety, legality, or accuracy of any listings or services on the platform.

5. Member Responsibilities

• Obtain all required permits, licenses, and approvals for their events, including but not limited to liquor licenses, health permits, fire permits, noise permits, and any other local, state, or federal requirements. Celabrae is not responsible for ensuring hosts, vendors, or providers comply with applicable laws and regulations in their jurisdiction.
• Provide accurate, complete, and current information.
• Maintain all required licenses, permits, insurance, and certifications relevant to your offering.
• Comply with all applicable federal, state, and local laws.
• Treat other members of the Celabrae community with respect.
• Promptly update your profile when your credentials, business status, or contact information changes.

6. Prohibited Conduct

You may not use Celabrae to:

• Violate any law or regulation.
• Harass, threaten, defraud, or harm any person.
• Provide false or misleading information.
• Circumvent the platform to transact off platform after being introduced through Celabrae, when fees would otherwise apply.
• Attempt to gain unauthorized access to the platform, other accounts, or any related systems.
• Scrape, copy, or reproduce content from the platform without written permission.

7. Fees and Payments

Specific fees, commissions, or subscription terms applicable to your use of the platform will be disclosed when you transact through Celabrae. We reserve the right to change fees with advance notice. All payments are processed by third party payment providers.

8. Intellectual Property

All content, logos, branding, and design elements of Celabrae are the property of Celabrae LLC and are protected by intellectual property laws. You may not use our trademarks or content without written permission. By submitting content to the platform, you grant us a non exclusive, royalty free license to use, display, and distribute that content as needed to operate the platform.

9. Background Checks

For certain applicant types, acceptance is contingent on completing a background check through a licensed consumer reporting agency. Background checks must be dated within the last 90 days and obtained through an approved provider such as Checkr, Certn, Sterling, or HireRight. 10. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. You may close your account at any time by contacting allison@celabrae.com. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitations of liability, and dispute resolution.

11. Disclaimers

The Celabrae platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the platform will be uninterrupted, secure, or error free.

12. Limitation of Liability

To the fullest extent permitted by law, Celabrae LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising out of or relating to these Terms or the platform shall not exceed the greater of one hundred dollars or the amounts you paid Celabrae in the twelve months before the claim arose.

13. Indemnification

You agree to indemnify and hold Celabrae harmless from any claims, losses, liabilities, damages, costs, or expenses arising from your use of the platform, your content, your violation of these Terms, or your violation of any rights of any third party.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the platform shall be resolved through binding arbitration administered in Arizona, under the rules of the American Arbitration Association, except that either party may bring a claim in small claims court if it qualifies. You waive any right to a jury trial or to participate in a class action.

15. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the Effective Date and notify you of material changes by email or through the platform. Your continued use of Celabrae after changes means you accept the updated Terms.
